Additionally, you won't: (a) upload viruses or malicious code affecting our Services' function; (b) copy, sell, resell, or exploit any part of our Services; (c) gather others' personal information; (d) spam, phish, or deceive; (e) use bots, spiders, scraping tools, automatic processes, AI tools (including agentic AI), or automated means to access our Services; or (f) interfere with, bypass, or disable our security features or access controls. We may suspend or close your account without warning if you break these Terms.

SECTION 14 - AGENTS
14.1 These Agent Terms apply if you use, enable, or deploy an Agent with our Services. An "Agent" is software that acts autonomously or semi-autonomously on your behalf or instruction and can run on your device without direct oversight.
14.2 Agents must always identify themselves and follow the requirements in section 14.4. Agents can't access our Services if we've asked them to stop.

14.4 Agents must: (i) identify themselves as Agents in all HTTP/HTTPS requests and include "Agent/[agent name]" in the user agent string; (ii) not hide that they're Agents—no mimicking humans or bypassing CAPTCHAs; (iii) answer truthfully if asked whether interactions are human or computer-based; (iv) not circumvent or avoid blocks, limits, or controls on Agent access.

SECTION 15 - ENDING THIS AGREEMENT
We may end this agreement or your access to our Services (or any part) whenever we want, without notice. You'll still owe all amounts due through the end date.
These sections continue after termination: Intellectual Property, Feedback, Termination, Warranty Disclaimer, Liability Limits, Indemnification, Severability, Waiver, Complete Agreement, Assignment, Governing Law, Privacy, and any other sections that should naturally survive.

TO THE MAXIMUM EXTENT ALLOWED, SPARNEXT, OUR PARTNERS, DIRECTORS, OFFICERS, STAFF, AFFILIATES, AGENTS, CONTRACTORS, PROVIDERS, LICENSORS, AND SHOPIFY AND ITS AFFILIATES ARE NOT LIABLE FOR INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, REVENUE, SAVINGS, DATA, REPLACEMENT COSTS, OR SIMILAR DAMAGES, WHETHER FROM CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE. THIS APPLIES TO USE OF OUR SERVICES OR PRODUCTS BOUGHT THROUGH THEM, OR ANY OTHER CLAIM RELATED TO YOUR USE OF OUR SERVICES OR ANY PRODUCT, INCLUDING CONTENT ERRORS, OMISSIONS, OR LOSS OR DAMAGE FROM USING OUR SERVICES OR PRODUCTS, EVEN IF WE KNEW HARM WAS POSSIBLE.

SECTION 18 - YOU PROTECT US
You agree to defend, hold harmless, and indemnify Sparnext, Shopify, and our partners, officers, directors, staff, agents, contractors, licensors, and providers from losses, damages, liability, or claims—including attorney fees—owed to anyone from (1) your breach of these Terms, (2) your violation of any law or others' rights, or (3) your access and use of our Services.
We'll tell you about any claim you need to indemnify, though delay doesn't remove your responsibility unless you're harmed. We can run the defense and settlement at your cost, including choosing lawyers, but won't settle claims affecting you without your okay. You'll help defend indemnified claims, including providing documents.

SECTION 19 - IF PART IS INVALID
If any part of these Terms is found unlawful, void, or unenforceable, that part will be enforced as much as the law allows, and the rest of the Terms stay valid and in effect.

SECTION 20 - NO WAIVER AND COMPLETE AGREEMENT
Our failure to enforce any right or rule in these Terms doesn't mean we've waived it.
These Terms, along with any policies posted here, make up the complete agreement between us and control your use of our Services. They replace any earlier agreements or discussions—written or oral—between us, including any previous Terms versions.

These Terms and any service agreements are governed by and interpreted under the laws in the federal and state or territorial courts where Sparnext is based. You and Sparnext agree to jurisdiction and venue in those courts.

Headings in this agreement are only for convenience and don't affect the Terms.

SECTION 24 - WE MAY UPDATE THESE TERMS
You can check the current Terms of Service on this page anytime.
We may update, change, or revise any part of these Terms by posting changes to our site. It's your job to check regularly for updates. We'll notify you of major changes in accordance with applicable law, and they'll take effect on the date we specify. By continuing to use our Services after we post changes, you accept them.
